Purpose of the Special General Meeting

This Special General Meeting has been called to enable Members to:

• adopt a new constitution compliant with the Incorporated Societies Act 2022

• modernise governance and statutory record-keeping

• consider committee structure changes for improved efficiency

• consider the future integration of related grower organisations

These decisions are significant and will guide the Federation’s operations, compliance, and representation for many years to come.

Resolutions to be Considered

Members will be asked to consider and vote on the following resolutions:

1. Adoption of New Constitution
   To adopt the proposed Constitution of the Dominion Federation of New Zealand Chinese Commercial Growers Incorporated, compliant with the Incorporated Societies Act 2022, replacing the existing constitution.

2. Authority to Register the Constitution
   To authorise the Committee to submit the adopted Constitution to the Registrar of Incorporated Societies and complete all steps required for re-registration.

3. Adoption of Statutory Registers
   To formally adopt statutory registers, including:

   • Register of Members

   • Register of Officers

   • Register of Interests

   • Register of Written Resolutions

4. Confirmation of Members
   To confirm current members recorded in the Register of Members as members under the new Constitution.

5. Confirmation of Officers
   To confirm current Officers, subject to written consent and eligibility certification as required by the Act.

6. Committee Size and Structure
   To confirm a reduced and more efficient Committee size appropriate to the current scale and needs of the organisation.

7. Merger / Integration in Principle
   To approve in principle the integration of the Dominion Federation of New Zealand Chinese Commercial Growers Incorporated with Auckland Chinese Commercial Growers Incorporated, subject to due diligence and further member approval.

8. Authority to Negotiate Merger Terms
   To authorise the Committee to negotiate detailed merger and integration arrangements and report back to Members for final approval.

9. Ratification of Prior Acts
   To ratify prior acts of the Committee and Officers to the extent permitted by law.
